Introduction and scope
These Terms of Service (“Terms”) govern access to stayledger.io and use of the StayLedger PMS and related services offered under the StayLedger brand.
If you use the service on behalf of an organization, you represent that you have authority to bind that organization.
Acceptance
By using the website or signing up for / continuing to use the PMS, you accept these Terms and any referenced policies (Privacy, Payment, Refund, Support, Cookie).
If a signed subscription agreement conflicts with these Terms, the signed agreement prevails.
Conditions of use
You must use the service lawfully, in accordance with your subscription plan, and only for legitimate accommodation or related business operations.
Accounts and security
- Keep credentials confidential and assign roles appropriately.
- You are responsible for activity under your account users.
- Notify [email protected] promptly of suspected unauthorized access.
Account and property administration
Customer administrators control property membership, roles, and configuration within plan limits. StayLedger may assist with account setup but does not replace your operational controls.
Customer responsibilities
- Provide accurate account and billing information.
- Ensure guest data is collected and processed lawfully.
- Use integrations and exports responsibly.
- Maintain backups of data you export.
Prohibited conduct
- Unauthorized access, probing, or interference with the service.
- Uploading unlawful, infringing, or malware content.
- Reselling the service without written permission.
- Using the service to violate privacy, hospitality, or other applicable laws.
Subscription and license
Subject to payment and these Terms, StayLedger grants a limited, non-exclusive, non-transferable right to use the PMS for your properties during the subscription term.
Trials
If a trial is offered, it is provided for evaluation only, may be limited in features or duration, and may be ended by either party. Trial terms are confirmed during account setup.
Pricing and taxes
Listed VND prices on the marketing site are indicative. Final pricing, taxes/VAT treatment, and limits are confirmed in a quote, order form, or subscription agreement.
See the Pricing Policy and Payment Policy: this marketing site supports information, demos, quotes, contracts, and offline invoicing; it does not provide online checkout or automatic card billing.
Payment
Payment is collected offline via invoice, bank transfer, or other methods stated in your agreement — not via automatic checkout on stayledger.io at this time.
Renewal
Renewal terms follow your subscription agreement. We do not auto-charge cards on this marketing website.
Suspension
We may suspend access for security risk, abuse, non-payment under your agreement, or legal requirement, with notice when reasonably practicable.
Cancellation
Cancellation procedures and effective dates follow your subscription agreement and the Refund & Cancellation Policy.
Termination
Either party may terminate according to the agreement. Upon termination, access ends and data handling follows Privacy Policy and contract.
Customer data
You retain rights in your customer content. You grant StayLedger rights needed to host and process that content to provide the service.
Intellectual property
StayLedger, FlowNexa, and related marks, software, and documentation remain the property of their respective owners. No rights are granted except as expressly stated.
Third-party content and integrations
Third-party services (channels, payment gateways used by hotels, messaging platforms, AI providers) are governed by their own terms. StayLedger is not responsible for third-party outages beyond commercially reasonable assistance.
AI features
StayLedger does not use customer data to train public AI models. Processing follows your account configuration and permissions.
Availability and maintenance
We aim for reliable service and may perform planned or emergency maintenance. Targets, if any, are defined in an enterprise SLA or support policy — this marketing site does not advertise 24/7 support unless separately confirmed.
Limitation of liability
Liability caps, exclusions, and related limits are set in the signed subscription agreement. To the extent permitted by law, StayLedger is not liable for indirect or consequential damages arising solely from use of the marketing website.
Indemnity
Any indemnity obligations between the parties are set out in the signed subscription agreement.
Force majeure
Neither party is liable for delays caused by events beyond reasonable control, including infrastructure-provider outages, natural disasters, or legal changes.
Governing law and disputes
Governing law and dispute venue follow the signed subscription agreement. Until those terms apply, parties should resolve disputes in good faith via the Complaint Resolution process and applicable mandatory rules.
Changes to these Terms
We may update these Terms. Material changes for paying customers will be communicated through contractual channels where required.
